Jeffrey ALegault

 

Jeffrey Legault is a Partner at Perricone Law. Jeff has 20 years of experience as an M&A attorney, representing private equity sponsors, family offices, and high-net-worth individuals in connection with acquisitions and dispositions of operating companies, both public and private.

 

Jeff also regularly represents venture capital funds and emerging growth companies in connection with early stage equity financings. Jeff has led M&A transactions across a range of industries, including life sciences,
manufacturing, and financial services. Jeff also advises portfolio companies on general corporate matters and corporate governance. Jeff has extensive experience leading M&A transactions, both domestic and cross-
border, and in negotiating joint ventures and strategic alliances. He has also conducted numerous proxy fights and has represented clients before the SEC.

 

Jeff holds a J.D. from the University of Toronto, Faculty of Law, where he was an Editor of the University of Toronto Law Journal. He also holds a B.A. from Queen’s University in Kingston, Ontario.


Jeff is fluent in French and is admitted to practice in New York and Ontario, Canada (not currently active).

Advised FX Real Estate and Entertainment and Starwood Capital Group in their two-year campaign to acquire Riviera Holdings Corporation.

 

Advised Bard Capital Group, I/ST Equity Partners and Lehman Brothers Holdings on their acquisition of AMQuip Corporation, a crane rental company.

 

Advised Merrill Lynch's private equity group on its acquisition of medical supplies manufacturer Cremer S.A. of Brazil.

 

Advised Triple Five on its acquisition of oil & gas company Platinum Energy Resources.

 

Advised Inteva Products, a portfolio company of The Renco Group, on its acquisition of the body systems auto parts manufacturing division of Meritor.

 

Advised The Renco Group on its $106 million acquisition of the interiors and closures auto parts manufacturing divisions of Delphi Corporation, resulting in the creation of IntevaProducts.

 

Advised The Renco Group on its acquisition of steel manufacturer KIC Holdings from American Capital Strategies.

Advised Daymon Worldwide on the sale of its majority interest in Anderson Daymon Worldwide, a sales and marketing agency, to Acosta Sales & Marketing.

 

Advised pharmaceutical company 4-Antibody AG on its sale to Agenus Inc.

 

Advised Ispat International on its $24 billion acquisition of the LNM Group to form Mittal Steel and on Mittal Steel's $4.5 billion acquisition of International Steel Group, creating of the world's largest steel company.

 

Advised New York construction company John P. Picone, Inc. on its acquisition by Dragados S.A. of Spain.

 

Advised the CIT Group on its acquisition of SunTrust Bank's Receivables Capital Management Division and on its acquisition of Healthcare Business Credit Corporation from Itochu International.

 

Advised Societe Generale on its acquisition of a leading global bank's hedge fund-linked structured products business.

 

Advised JPMorganChase, HSBC, Citigroup and another leading global bank, as minority stockholders of NYCE Corporation, on the $610 million acquisition of the NYCE ATM network by Metavante.

 

Advised Banco Internacional del Peru on its acquisition of Supermercados Santa Isabel, Peru's second-largest supermarket chain, from Ahold N.V. of the Netherlands.

 

Advised AngloAmerican Plc on its $100million acquisition of the international grinding media business of GS Industries in Canada, Mexico, Chile, Peru, the Philippines, Italy and Australia.

 

Advised Bell Canada International on the reorganization of Telecom Americas, its South American joint venture with America Movil of Mexico and SBC Communications, and on the subsequent $400 million disposition of its interest in the joint venture to America Movil.

 

Advised Telecom Americas on its $500 million acquisition of Brazilian wireless companies Telet and Americel from a consortium of Brazilian pension funds, CVC Opportunity Partners and Telesystem International Wireless.

 

Advised Gazit-Globe of Israel on its successful $165 million hostile take-over bid for Centrefund Realty Corporation of Toronto.
